Terms & Conditions

The complete agreement governing your HATH LLC membership, home-care services, and participation in the HATH Credit loyalty program.

Please read these Terms carefully. They contain important limitations on HATH's liability, a dispute resolution clause, and a class action waiver. By joining HATH or using any HATH service, you agree to be bound by these Terms in full.

1Acceptance of Terms

These Terms & Conditions ("Terms," "Agreement") constitute a legally binding contract between you ("Member," "you," or "your") and HATH LLC, a Rhode Island limited liability company ("HATH," "we," "our," or "us"), governing your use of HATH's home-care membership services, digital platforms, and loyalty program.

By (a) submitting a waitlist signup, (b) activating a member account, (c) making a membership payment, (d) authorizing HATH staff to access your property, or (e) accessing the member portal at app.hathservices.com, you represent that you:

  • Are at least 18 years of age
  • Have the legal authority to enter into this Agreement (including the authority to grant property access as described in Section 4)
  • Have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference

If you do not agree to these Terms in their entirety, you must not use HATH services.

2Services & Service Area

2.1 Scope of Services

HATH offers home-care membership services currently including, but not limited to: lawn and grounds maintenance, snow and seasonal services, general handyman and in-home assistance, and smart home device setup and installation ("Services"). The specific Services available to you depend on your membership tier and HATH's then-current service offerings.

HATH reserves the right, at its sole discretion, to add, modify, suspend, or discontinue any Service at any time with or without notice, subject to the termination provisions in Section 12. We are not obligated to offer any specific service not expressly included in your current membership tier.

2.2 Service Area

HATH currently operates in the Providence, Rhode Island metropolitan area. Service availability at your specific address is subject to HATH's determination based on crew capacity, geographic proximity, and operational feasibility. HATH makes no guarantee that Services will be available at every address within the Providence metro area.

HATH reserves the right to expand or contract its service area at any time. If your address falls outside an updated service area, HATH will provide at least thirty (30) days' notice before discontinuing service at your location.

2.3 Service Standards

HATH will perform Services in a workmanlike manner consistent with industry standards. However, outcomes may vary based on property conditions, weather, equipment limitations, and other factors outside HATH's control. HATH does not guarantee specific aesthetic or functional results from any individual service visit.

2.4 Licensed Trades

HATH's Phase One services are limited to general lawn care, snow removal, handyman assistance, and smart home setup. Services requiring licensed tradespeople (electrical, plumbing, HVAC, structural) are not currently offered and will not be performed by HATH staff unless HATH explicitly represents that the assigned staff member holds the required license for your jurisdiction. Any such representation will be confirmed in writing prior to service.

3Membership & Billing

3.1 Membership Tiers

HATH offers the following monthly membership tiers (pricing subject to change per Section 14):

  • HATH Core — $199/month: Seasonal lawn care or snow removal, weekly trash bin service, annual gutter cleaning, rollover credits
  • HATH Standard — $249/month: Full lawn care and snow removal, weekly trash bin service, bi-annual gutter maintenance, rollover credits, priority scheduling
  • HATH Premium — $299/month: Everything in Standard, plus HVAC filter and health checks, two (2) hours of handyman labor per month, smart home upgrade eligibility

3.2 Billing & Recurring Charges

Membership fees are billed on a recurring monthly basis on or around the same date each month ("Billing Date"). By providing a payment method and activating your membership, you authorize HATH to charge that payment method on each Billing Date without further authorization.

Failure to maintain a valid payment method on file may result in suspension or termination of your membership and forfeiture of accrued credits as described in Section 6.

3.3 No Prorated Refunds

Membership fees are non-refundable. If you cancel your membership mid-cycle, you will retain access to Services through the end of the current billing period, but no refund will be issued for the unused portion of that period.

3.4 Price Changes

HATH reserves the right to adjust membership pricing at any time. Active members will receive at least thirty (30) days' written notice of a price increase before it takes effect. Your continued use of HATH after the effective date of a price change constitutes acceptance of the new pricing.

3.5 Taxes

Membership fees do not include applicable sales, use, or other taxes unless explicitly stated. You are responsible for any taxes applicable to your membership under Rhode Island or federal law.

3.6 Rollover Credits

Unused service credits (expressed in HATH Credit units, see Section 6) roll over month-to-month within the same membership. Credits do not roll over if your membership is cancelled, downgraded, or your account is suspended for nonpayment. HATH reserves the right to implement a maximum credit cap with at least sixty (60) days' notice.

4Property Access

4.1 Authorization to Enter

By activating your HATH membership and scheduling service visits, you expressly authorize HATH and its authorized staff, employees, and contractors to enter and access your property, including the exterior, yard, driveway, garage (if applicable), and interior spaces as required to perform the scheduled Services.

This authorization applies during scheduled service windows and, in the case of emergency or urgent pre-approved situations, at other agreed-upon times. HATH staff will not enter your property outside of scheduled windows without explicit prior authorization from you.

4.2 Member Representations

By granting property access, you represent and warrant that:

  • You are the legal owner of the property, or have been expressly authorized by the owner to grant access for home maintenance services
  • The property is free from known hazards that would be unreasonably dangerous to service personnel, or you have disclosed all known hazards in writing
  • Any animals on the premises will be secured during service visits
  • Applicable HOA or landlord rules permit the services you have requested

4.3 HATH's Responsibilities During Access

HATH staff will treat your property with care and respect. HATH will not remove, tamper with, or retain any personal property from your premises. Staff members are subject to background screening and bound by confidentiality obligations regarding your property and household.

4.4 Damage Claims

Claims for property damage alleged to have been caused by HATH staff must be submitted in writing within five (5) business days of the service visit in question. HATH will investigate all timely claims and, where HATH's negligence is established, will arrange for reasonable repair or compensation not to exceed the limitations set forth in Section 9. Claims submitted after five (5) business days may be denied.

5Scheduling, Rescheduling & Cancellation

5.1 Scheduling

Service appointments are scheduled through the HATH member portal or by contacting HATH directly. Scheduling is subject to crew availability. HATH will make commercially reasonable efforts to accommodate your preferred times but cannot guarantee any specific appointment slot.

5.2 Member Cancellations

You may cancel or reschedule a service appointment at no charge provided you do so at least 24 hours before the scheduled appointment time. Cancellations or reschedules made with less than 24 hours' notice may result in forfeiture of any credits allocated to that appointment, at HATH's discretion.

5.3 HATH Cancellations

HATH reserves the right to reschedule service visits due to severe weather, crew illness, equipment failure, safety concerns, or other circumstances outside HATH's reasonable control. HATH will notify you as promptly as practicable and will reschedule affected visits within the same billing cycle where possible.

5.4 Force Majeure

HATH shall not be in breach of these Terms or liable for any delay in performing, or failure to perform, any of its obligations if such delay or failure results from events, circumstances, or causes beyond HATH's reasonable control, including but not limited to: severe weather events, natural disasters, epidemics or pandemics, acts of government, labor strikes, supply chain disruption, or civil unrest. In such circumstances, HATH's obligations are suspended for the duration of the force majeure event.

5.5 Membership Cancellation

You may cancel your HATH membership at any time by providing written notice to quotes@hathservices.com. Cancellation is effective at the end of the then-current billing cycle. No refunds will be issued for the current billing period. Upon cancellation, your member account, credit balance, and property data will be retained per the Privacy Policy and then deleted on the schedule described therein.

6HATH Credit Loyalty Program

Important Disclosure — Please Read: HATH Coin (also referred to as "HTH credits" or "HATH Credits") is a loyalty reward program only. It is not a cryptocurrency, digital asset, security, commodity, or any form of financial instrument. HATH Credits have no monetary value, cannot be exchanged for cash, cannot be transferred or sold, and are not an investment of any kind. Nothing in these Terms or in any HATH communication should be construed as financial, investment, or legal advice regarding digital assets.

6.1 Nature of HATH Credits

HATH Credits are a proprietary, non-monetary loyalty unit maintained by HATH LLC solely to reward membership participation and encourage long-term customer relationships. Credits are analogous to frequent-flyer miles or retail reward points — they represent HATH's discretionary commitment to provide service value to loyal members, not a debt or financial obligation.

6.2 Earning Credits

Members earn HATH Credits through:

  • Monthly membership participation (auto-credited per your tier)
  • Milestone rewards at 200, 400, 600, 1,000, and 1,500 cumulative credit thresholds
  • Promotional activities as announced by HATH from time to time
  • Manual adjustments by HATH staff (adjustments are logged with a reason note)

6.3 Redeeming Credits

Credits may be redeemed exclusively for HATH home-care services as priced in the member portal. The credit cost of services is set by HATH and may be updated at any time with reasonable notice. Credits cannot be:

  • Exchanged for cash or any monetary equivalent
  • Transferred to another member or third party
  • Combined with credits from another account
  • Used for services outside HATH's current service menu

6.4 Expiration & Forfeiture

Credits do not expire while your membership is active. Upon cancellation or termination of your membership, all accrued credits are immediately forfeited and will not be redeemable or compensated in any form. HATH reserves the right to expire credits that have been inactive (unredeemed) for twenty-four (24) consecutive months, with at least sixty (60) days' written notice.

6.5 No Guarantee of Future Value or Utility

HATH makes no representations or warranties regarding the future availability, redeemability, or value of HATH Credits. HATH reserves the right to modify, suspend, or discontinue the HATH Credit program at any time upon sixty (60) days' written notice to active members. Upon program discontinuation, any outstanding credits will be honored for redemption for a period of sixty (60) days following notice, after which they will be forfeited without compensation.

6.6 Future Phases — No Reliance

HATH has communicated a multi-phase roadmap that includes potential future development of a utility token and, ultimately, a publicly tradeable digital asset. These future phases are aspirational and speculative. No timeline, feature, or functionality described in any Phase 2, Phase 3, or later roadmap communication constitutes a promise, guarantee, or binding commitment by HATH. You should not join HATH, purchase a membership, or make any financial decision in reliance on the potential future development of HATH Credit as a tradeable asset or utility token. HATH expressly disclaims any representation that membership today will result in any financial return or token value in the future.

THE HATH CREDIT PROGRAM IS A LOYALTY REWARD PROGRAM ONLY. CREDITS HAVE NO CASH VALUE AND DO NOT CONSTITUTE A SECURITY UNDER FEDERAL OR STATE LAW. HATH HAS NOT REGISTERED ANY OFFERING OF DIGITAL ASSETS WITH THE U.S. SECURITIES AND EXCHANGE COMMISSION OR ANY STATE SECURITIES REGULATOR. HATH IS NOT A LICENSED FINANCIAL SERVICES COMPANY, MONEY TRANSMITTER, OR CRYPTOCURRENCY EXCHANGE.

7Member Conduct & Obligations

As a member, you agree to:

  • Provide accurate, current, and complete information in your member account and keep it updated
  • Treat HATH staff with respect and dignity. HATH reserves the right to terminate membership immediately for any member who subjects staff to harassment, discrimination, threats, or abusive conduct
  • Provide a safe working environment for HATH staff, including securing pets, removing hazardous obstructions, and disclosing known risks
  • Not attempt to circumvent HATH by directly hiring, soliciting, or engaging HATH staff members for private work during or for a period of twelve (12) months following the staff member's last HATH service at your property. Violation of this provision may result in immediate membership termination and may give rise to a claim for damages
  • Not use HATH services for any unlawful purpose
  • Maintain a valid and current payment method on file

8Disclaimers & Warranties

HATH PROVIDES ALL SERVICES AND DIGITAL PLATFORMS "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HATH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; WARRANTIES REGARDING THE RESULTS, QUALITY, OR OUTCOMES OF ANY SERVICE VISIT; AND WARRANTIES THAT THE MEMBER PORTAL OR ANY HATH PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

HATH does not warrant that lawns will achieve any particular appearance, that snow will be cleared within any specific timeframe, that handyman repairs will resolve any specific issue, or that smart home installations will be compatible with any particular network, device, or third-party service.

Certain jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the foregoing disclaimer applies to the fullest extent permitted by law, and HATH's liability for any implied warranty that cannot be excluded is limited as set forth in Section 9.

9Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HATH LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PROPERTY DAMAGE BEYOND DIRECT PHYSICAL REPAIR COSTS, OR ANY OTHER INTANGIBLE LOSSES, EVEN IF HATH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.1 Liability Cap

In no event shall HATH's total aggregate liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of (a) the total membership fees paid by you to HATH in the three (3) calendar months immediately preceding the event giving rise to the claim, or (b) $500.00 USD.

9.2 Essential Basis

The limitations in this Section reflect a fair allocation of risk between the parties and are an essential element of the basis of the bargain between you and HATH. HATH would not have entered into this Agreement without these limitations.

9.3 Exceptions

Nothing in these Terms limits HATH's liability for: (a) death or personal injury caused by HATH's gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited by applicable Rhode Island or federal law.

10Indemnification

You agree to defend, indemnify, and hold harmless HATH LLC and its members, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your breach of any representation, warranty, or obligation under these Terms
  • Your misrepresentation of authority to grant property access
  • Your failure to disclose known property hazards
  • Any claim by a third party (including property co-owners, landlords, or HOAs) arising from services you authorized HATH to perform
  • Your violation of any applicable law or regulation in connection with your use of HATH services
  • Any abusive or unlawful conduct directed at HATH staff

HATH reserves the right to assume exclusive control and defense of any matter for which you are required to indemnify HATH, at your expense. You agree to cooperate fully with HATH's defense of any such claim.

11Dispute Resolution

11.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact HATH at quotes@hathservices.com and attempt to resolve the dispute informally. HATH will attempt in good faith to resolve any complaint within thirty (30) days of receipt. Many disputes can be resolved quickly without escalation.

11.2 Governing Law & Jurisdiction

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict-of-law provisions. You agree that any legal proceeding arising out of or relating to these Terms that is not resolved informally shall be brought exclusively in the state or federal courts located in Providence County, Rhode Island, and you hereby consent to personal jurisdiction in those courts.

11.3 Class Action Waiver

YOU AND HATH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both you and HATH agree in writing, no arbitrator or court may consolidate more than one person's claims, or otherwise preside over any form of representative or class proceeding.

11.4 Limitation Period

Any claim or cause of action arising from or related to these Terms or HATH services must be filed within one (1) year after the claim arose, regardless of any contrary statute of limitations. Claims not filed within this period are permanently barred.

12Termination

12.1 Termination by Member

You may terminate your membership at any time by providing written notice to HATH. Termination is effective at the end of the current billing cycle. No refunds are issued for the current billing period.

12.2 Termination by HATH

HATH may suspend or terminate your membership, with or without notice, if you:

  • Fail to maintain a valid payment method or have a payment declined that remains uncured for more than seven (7) days
  • Breach any material obligation under these Terms
  • Subject HATH staff to harassment, discrimination, or threatening behavior
  • Provide materially false information in your account
  • Engage in conduct that, in HATH's reasonable judgment, creates a safety risk to staff or the public
  • Attempt to directly hire HATH staff in violation of Section 7

In the event of termination for cause, all accrued credits are immediately forfeited and no refund is issued for the current billing period.

12.3 Effect of Termination

Upon termination for any reason: access to the member portal is revoked; all credits are forfeited; and property access authorization is revoked effective immediately. Sections 6.5, 7, 9, 10, 11, 13, and 15 survive termination.

13Intellectual Property

All content, branding, design, software, and materials on hathservices.com and app.hathservices.com — including the HATH name, logo, "Help Around The House" tagline, "HATH Credit" mark, and all associated creative assets — are the exclusive property of HATH LLC and are protected by copyright, trademark, and other applicable intellectual property laws.

Your membership does not grant you any license to use HATH's intellectual property for any purpose other than accessing and using the services as intended. You may not reproduce, modify, distribute, or commercially exploit any HATH content without express written permission from HATH LLC.

14Changes to These Terms

HATH reserves the right to modify these Terms at any time. We will notify active members of material changes by:

  • Posting updated Terms at this URL with a revised "Last Updated" date
  • Sending email notice to your account email address at least fourteen (14) days before material changes take effect

Your continued use of HATH services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to updated Terms, you must cancel your membership before the effective date. Non-material changes (such as formatting corrections or clarifications that do not alter your rights or obligations) may be made without notice.

15General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any written service agreements signed at the time of your Home Wellness Audit, constitute the entire agreement between you and HATH with respect to the Services and supersede all prior agreements, understandings, and representations.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

15.3 No Waiver

HATH's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of HATH LLC.

15.4 Assignment

You may not assign or transfer your membership or any rights or obligations under these Terms without HATH's prior written consent. HATH may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms are binding upon and inure to the benefit of the parties and their permitted successors and assigns.

15.5 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and HATH and their respective successors and assigns. Nothing in these Terms creates any rights in any third party.

15.6 Notices

Notices to HATH must be sent by email to quotes@hathservices.com. Notices to you will be sent to the email address on file for your account. Notices are deemed given upon transmission if sent by email.

15.7 Independent Contractor

HATH and its staff perform services as independent professionals. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and HATH.

These Terms & Conditions do not constitute legal advice. HATH LLC recommends that all parties consult a licensed attorney familiar with Rhode Island law and applicable federal regulations — particularly regarding home-care service contracts, digital loyalty programs, and consumer protection obligations — before relying on this document for legal compliance.
